16. Termination

We may suspend or terminate access to the Platform without prior notice if you violate these Terms. Termination does not affect accrued rights or liabilities.

17. Force Majeure

We shall not be liable for delays or failure in performance due to events beyond reasonable control, including natural disasters, government restrictions, pandemics, cyber incidents, labor disruptions, or supply chain interruptions.

18. Dispute Resolution & Arbitration

In the event of any dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the matter amicably. If unresolved, the dispute shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Indore, Madhya Pradesh, India. Proceedings shall be conducted in English. The arbitrator’s decision shall be final and binding.

19. Governing Law & Jurisdiction

Subject to the arbitration clause above, the competent courts in Indore, Madhya Pradesh, India shall have exclusive jurisdiction for enforcement of arbitral awards or matters not subject to arbitration.

20. Assignment

We may assign or transfer our rights and obligations under these Terms without restriction. You may not assign your rights without prior written consent.

21. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Waiver

Failure to enforce any provision shall not constitute a waiver of future enforcement of that provision.

23. Survival

Provisions relating to intellectual property, limitation of liability, indemnification, dispute resolution, and governing law shall survive termination.

24. “No Agency” Clause

Nothing in these Terms shall create any agency, partnership, or joint venture relationship between you and the Company.

25. Entire Agreement

These Terms, together with our Privacy Policy, Shipping Policy, and Returns Policy, constitute the entire agreement between you and the Company regarding use of the Platform.
